If so, this could be the role for you!We are looking for a Company Secretary & Governance Officer to join a well-established group operating across specialist insurance, investment, and financial services. You'll be a key part of the Governance, Risk, and Compliance team, helping to shape and maintain the governance framework for several regulated and high-profile entities within the group structure.Insurance experience and/or asset management experience would be a great advantage.What You'll Be Doing
  • Providing client-focused corporate governance support to Boards and Committees.
  • Regularly dealing with senior stakeholders such as NED's and C-Suite
  • Preparing agendas, editing and reviewing board papers, drafting high-quality minutes, and tracking meeting actions.
  • Supporting regulatory and governance filings, including compliance with Corporate Governance Codes and relevant legislation (e.g. ECCTA).
  • Developing governance policies and maintaining the Corporate Governance Manual.
  • Working alongside experienced professionals to enhance governance standards across the group.
  • Advising on Company Law, LLP legislation, and governance best practices.
What We're Looking For
  • Strong experience within a Company Secretariat or Governance team, ideally within the Lloyd's and/or London Market or an asset/wealth management business.
  • A proven ability to support or advise Boards and Committees with governance matters.
  • Demonstrable experience in dealing with senior stakeholders - this is essential.
  • Skilled in board pack preparation, minute taking, and action tracking.
  • Familiarity with Corporate Governance software (e.g. Diligent or similar).
  • Exceptional attention to detail, strong written and verbal communication skills.
  • A team player who is flexible, collaborative, and able to manage multiple stakeholders.
  • Chartered Governance Institute qualified or part-qualified is preferred.
Desirable Experience
  • Involvement in Annual General Meetings for private companies.
  • Exposure to international entities or governance frameworks beyond the UK.
  • A track record of contributing to governance improvements or change initiatives.
