- Managing Group and subsidiary board and committee meeting processes - working with management to set agenda, briefing management teams on lead times for the delivery of board and committee papers; and ensuring the timely publication of high-quality materials to the Bank's Board portal.
- Attendance at and minuting of Board and Committee meetings,
- Developing a close working relationship with Executives, Boards, Chairs and Committee members and act as first point of contact.
- Tracking to completion actions arising from board and committee meetings.
- Maintaining Board and Committee records, including papers, minutes and other documentation.
- Advising on Board procedures and ensuring Board compliance with corporate governance policies, board mandate and committee terms of reference, and the constitutional documents.
- Ensuring compliance with relevant laws.
- Proven experience in a Co-sec function within the financial services industry.
- Strong understanding of corporate governance and regulatory requirements.
- Excellent strategic planning and decision-making skills.
- Ability to manage complex projects and lead cross-functional teams.
- Exceptional communication and negotiation abilities.
- A strong analytical mindset with attention to detail.
- Extensive experience of working under FCA regulations with exposure to senior executive and Board level.
- Experience of building relationships senior executives and non-executive directors.
- Extensive experience of minute taking at a senior level.
- Relevant understanding of Corporate Governance best practice and experience of applying this understanding pragmatically in support of Boards and committees.
- Knowledge of the requirements of the Companies Act and familiarity working with Articles of Association.
- Competitive salary in the range of £67500 to £75,000, depending on experience.
