- Supporting the Deputy GC with firm governance and regulatory matters relating to UK firm.
- Navigating and advising (including the preparation of concise written guidance) on the relevant governance codes (including Audit Firm Governance Code and wider Corporate Governance frameworks) and related regulatory institute considerations (e.g. ICAEW) matters to support ongoing regulatory compliance.
- Working collaboratively across the UK firm with colleagues based in the Business and Enabling Functions who specialise in regulatory matters, working collaboratively to the firm's ongoing compliance.
- Advising on constitutional matters, duties and responsibilities in accordance with relevant laws, regulations, contractual and policy provisions in respect of the Firm's governance bodies and legal entities.
- Overseeing the production of papers, minutes and resolutions where appropriate.
- Liaising with internal and external stakeholders.
- Leading the internally facing Company Secretary function.
- Overseeing the Company Secretarial services ensuring these are best in class and fully integrated into the Firm's operations with a continuous improvement mindset.
- Supporting the growth and professional development of the Company Secretarial team.
- Supporting with a wide variety of LLP and Partnership interpretation matters. This will involve working across the firm supporting all areas of the Business, utilising the support of subject matter experts where required.
- Developing knowledge of and advising on best practices.
- Experienced UK qualified corporate lawyer with corporate governance and regulatory experience and a deep understanding of UK company law and corporate governance from a professional or financial services background (including an understanding of the Audit Firm Governance Code).
- Understanding of LLPs and relevant LLP regulations.
- In-house experience (some Professional Services or equivalent large complex organisational experience)
- Strong understanding of professional bodies (e.g. ICAEW and other similar institutes and authorities)
- Highly organised and capable of managing wide range of senior stakeholders.
- Proven ability to understand complex issues and bring stakeholders and material together.
- Strong understanding of the Firm's corporate structure, legal entities and related compliance requirements.
- High integrity, absolute discretion, professionalism, maintains strict confidentiality.
- Strong interpersonal and communication skills both written and verbal.
