We incubate and build high-tech growth ventures at the intersection of mobility, energy and digital, enabling Hitachi to play a pivotal role in leading the net-zero transition.Hitachi ZeroCarbon has multiple programmes and projects in the pipeline that need to be delivered and managed across our decarbonisation business for fleet and commercial transport, including energy management.The Hitachi ZeroCarbon Head of Legal and Company Secretary will provide independent strategic legal and corporate governance advice, guidance and support that enables the Hitachi ZeroCarbon Limited and Hitachi ZeroCarbon Battery Holding Limited businesses to achieve their strategic mission in a way that minimises legal and compliance risk for the businesses and supports rapid growth of these businesses.What you’ll be doingDirecting the legal support for all commercial projects, including bidding, structuring, negotiation, contracting, procurement, contract execution, contract management and dispute resolution.Leading discussions globally with Hitachi legal functions to support business growth in new markets.Leading discussions with the Hitachi global compliance function to implement, maintain and develop compliance processes, conducting training and investigations, and helping to build a strong ‘compliance culture’ in the organisation.Directing the delivery and the development of advice, training, templates and tools and processes to improve the standard of contracting, tendering, negotiation, sourcing and procurement practices.Playing a key role in cross-functional teams, building relationships and counselling stakeholders on legal commercial and reputational risk, leading discussions on risk management and ethical practices in a user-friendly and pragmatic manner.Responsible for compliance with corporate governance and approval requirements, company secretarial requirements, regulatory, litigation and disputes, intellectual property, real estate, and employment matters.Instruct and manage external legal advisors across a wide spectrum of legal disciplines within budget, including for contracting under jurisdictions outside England and Wales.Partnering with other Hitachi Heads of Legal and other colleagues within the Hitachi Legal & Compliance functions on joint initiatives.What you bring to the teamWe’re looking for a team player, who is motivated by delivering great work and the Hitachi vision. The role will be a mixture of remote-hybrid work with regular in person attendance across multiple office's in London.The ideal candidate will possess the following skills and background:Degree in Law or equivalentEntitled to practice in England and WalesPost qualification experience in top tier international law firms or industrial companies, experience in the Mobility and Energy sectors would be valuable.Thorough knowledge of English law and practice; familiar with common contracting schemes for technology service delivery/ SaaS (PPPs, EPC contracts, alliance/collaboration agreements, joint ventures, consortia), public and private procurement, intellectual property and infrastructure financing.Exceptional negotiation and risk management skills, able to operate at multiple levels up to Board level and including with customers, suppliers and other stakeholders.Strong company secretariat experience, including running board meetings, managing engagement with shareholders, the board and senior management, maintaining statutory books, making all relevant filings, taking minutes and liaising with external regulators, advisers and auditors.Exceptional governance experience, including developing appropriate processes and systems for the execution of contracts and other legal documents by authorised signatories, developing suites of templates and managing a complete and accurate register of contract documentation.Strong risk management and dispute resolution skills.It would be an advantage (but not essential) to have M&A, corporate venture capital, restructuring/reorganisations, equity capital markets, debt finance or other corporate law experience, including in respect of start-ups or high-growth businesses.Excellent verbal and written communications skills, listening, influencing and presentation skills, ability to work and communicate in a diverse global organisation.Ability to prioritise and manage multiple tasks simultaneously, work under pressure and at pace, strong at problem-solving and critical thinking, business and financial acumen.Demonstrated ability to influence teams including remote workers, willingness to travel occasionally.Team player, with cultural awareness and curiosity, willing to work with other functions and members of the global Hitachi Legal & Compliance team on joint initiatives.Absolute integrity and trustworthiness plus the credibility and ability to communicate the importance of same to all levels of the organisation.Second languages advantageous but not essential (Japanese, Italian, French).The position will initially be for 6 months with the possibility converting to a permanent role.Benefits PackageAlong with a market competitive salary and discretionary bonus scheme, employees have the option to work flexibly in line with our hybrid working model and we would be happy to discuss this with you during the hiring process.Company Funded BenefitsGenerous holiday entitlement - with the option to buy up to an additional 5 days per yearA Holiday Banking scheme allowing you to bank untaken holiday to use another yearGroup Personal PensionPrivate Medical Insurance with self-funded option to cover family membersEmployee Assistance Programme available to all employeesPersonal Accident InsuranceVoluntary Benefits (funded by employee) including;Cycle To Work schemeGym MembershipDental Insurance with option to include dependent childrenHealth screeningDining cardOur ValuesWe are proud to say we are an equal opportunity employer and welcome all applicants for employment without attention to any factor that doesn’t impact your ability to do the job, including race, colour, religion, sex, sexual orientation, gender identity, national origin, veteran or disability status.
