Deals Tax - Manager, Management Incentives AdvisoryRole Overview:
Join a dynamic and specialist tax advisory team focused on the design, implementation, and ongoing management of incentive arrangements for executives and employees. Whether supporting transactions or helping businesses evolve their reward structures, this role offers exposure to high-impact work in the Private Equity space.Our clients include leading and mid-market PE investors, as well as senior leadership teams within PE-backed portfolio companies. The work is fast-paced, commercially driven, and intellectually stimulating.Key Responsibilities:
  • Contribute to the delivery of UK and international tax advice across the lifecycle of a transaction, including:
  • Structuring and implementing Management Incentive Plans (MIPs)
  • Advising on equity resets, joiner/leaver scenarios, and mid-cycle changes
  • Supporting exit planning, including sales to new investors or IPO readiness
  • Conducting tax due diligence and identifying key risks and opportunities
  • Collaborate with senior colleagues and mentor junior team members to deliver tailored, high-quality advice
  • Build trusted relationships with clients and intermediaries, becoming a go-to advisor on incentive-related matters
  • Support business development efforts by contributing to proposals, attending market events, and identifying new opportunities
  • Translate complex tax and commercial issues into clear, actionable insights for clients
What We're Looking For:
  • ACA or CTA qualified (or equivalent international qualification or experience)
  • Solid understanding of management incentive structures, especially within the PE environment
  • Experience working on transactions or in a deals-focused advisory setting
  • Strong interpersonal and communication skills, with the ability to influence and negotiate effectively
  • Excellent analytical and project management capabilities
  • A proactive mindset and collaborative approach to problem-solving
