- Review loan documents and bond indentures to identify relevant protections or weaknesses.
- Highlight potential for LME and other creditor-adverse transactions.
- Evaluate multiple documents to establish relevance for issuers with complex capital structures, including loan agreements, intercreditor agreements, bond documentation, common terms agreements, and restructuring agreements.
- Manage engagement with and liaise with external legal advisors as needed.
- Provide legal strategic support for the desk analyst team on current risk exposures and restructurings, including review of transaction documents, waivers/amendments, advisor engagement letters, reliance letters, release letters, and NDA provisions.
- Work with desk analysts to negotiate debt restructurings, considering relevant jurisdictions.
- Review lock-up, restructuring support, backstop, and coordination agreements to assess commercial impact and compliance with J.P. Morgan's standards.
- Collaborate with internal JPM legal, regulatory, conflicts, tax, and other stakeholders for approval and execution of restructuring documents and new money facility agreements.
- Draft commercial term sheets for new money facilities or issuances, working with analysts, internal and external counsel.
- Review and negotiate long-form documentation.
- Assist desk analysts in structuring and executing bespoke transactions, including rescue lending and refinancing solutions, alongside external counsel.
- Extensive post-qualification experience in England and Wales (qualifications in other European or common law jurisdictions are favorable) with a major City or US law firm or equivalent experience with an in-house legal department/trading desk or in-house counsel for funds or a leading financial institution.
- Outstanding technical and legal analytical abilities with strong attention to detail.
- Relevant in-depth experience in drafting and negotiating credit documentation.
- Strong understanding and working knowledge of the restructuring framework across European jurisdictions and the United States.
- Knowledge of current restructuring trends and technology, including LMEs and intra-creditor dynamics.
- Excellent verbal, written, and presentation skills, along with outstanding interpersonal skills.
- Ability to build and maintain a strong and active peer network of legal professionals.
- Ability to interact with a wide range of stakeholders, including direct company and investor interactions.
- Proven ability to work under pressure to tight deadlines and manage multiple projects simultaneously.
- Intellectual curiosity and a willingness to learn new skills and elements of transactions, structures, law, and regulation across multiple jurisdictions.
