
Corporate Transaction Lawyer

- Performing due diligence by reviewing corporate documents, including but not limited to contracts, organizational documents, real estate leases, and license agreements, to identify important provisions and terms in connection with US and UK M&A transactions
- Preparing summaries of the results of the review of corporate documents, including change-of-control triggers, anti-assignment provisions, most-favoured-nation clauses, and other contract-based red flags raised by the proposed M&A, Private Equity, or similar transactions
- Interacting with Associates, Counsel, and Partners to seek guidance on the terms and provisions that are relevant to a specific transaction, and to provide updates on and legal analysis regarding the results of due diligence
- Working effectively with Virtual Data Room tools (e.g., Intralinks, Merrill, etc.) to access due diligence materials
- Learning and using cutting-edge technology, such as artificial intelligence (AI) or machine-based learning software and legal project management tools, to assist in due diligence review and reporting process
- Demonstrate knowledge and proficiency in PC applications, including MS Office and other programs necessary to complete thorough analyses and reports, and to enhance and deliver high quality summaries and presentations
- Possess excellent organisational and analytical skills (e.g., organising, planning, problem-solving and decision-making, commitment to diversity), and skilled technical writing
- Display well-developed and professional interpersonal skills, as well as the ability to interact effectively with people at all levels of the firm
- Relevant experience conducting due diligence in connection with M&A transactions, or other corporate process at a law firm
- A law degree (or other Degree and Graduate Diploma in Law) and Legal Practice Course qualification
- Relevant PQE experience and to be admitted as a solicitor in England & Wales and hold a current practising certificate, or qualified and admitted in a US jurisdiction; individuals originally qualified in other jurisdictions who are undertaking, or have undertaken, the QLTS will be considered
