For more information, visit .Purpose of the role:As a Company Secretariat you’ll be supporting the delivery of a high-quality service within the corporate secretariat function, covering entity management/liquidations, corporate governance, shareholder services working to understand the corporate reporting, substance and governance standards required of the Group’s subsidiary entities across multiple jurisdictions.The position will involve the following areas of responsibility:
  • Managing and supporting the provision of company secretarial services and advice to and in connection with governance and board compliance of any subsidiary companies;
  • New company formation;
  • Director appointment and resignation filings;
  • Share allotments, subdivision, and transfers;
  • Statutory compliance activities;
  • Shareholder and board actions;
  • Advice on governance, substance and company secretarial issues;
  • Participation in liquidating, restructuring and other corporate projects and transactions, responsibilities for company secretarial processes, procedures, databases and know-how;
  • Production of minutes, issuing of notices and maintaining statutory records;
  • Maintenance of various company registers and filings as required;
  • Maintain organisational charts and changes to these charts;
  • Maintain overall company register with all its subsidiaries and update with changes;
  • Provide input into the maintenance of systems utilised, particularly in relation to the specific forms produced within the CoSec teams;
  • Assist with preparing and filing annual returns;
  • Maintain a good understanding of local and other jurisdictional company secretarial requirements (Guernsey, South Africa, Malta and other jurisdictions), including keeping abreast of changes in legislation and the regulatory environment and taking appropriate action;
  • Assistance with documentation of substance requirements in the company and subsidiaries
  • Take steps to ensure compliance with local and other offshore jurisdictions' statutory obligations;
  • Maintain a thorough understanding of all processes involved in the establishment and ongoing maintenance of all entity type;
  • Assist with company secretarial related queries from the wider group.

  • Prior corporate administration experience
  • Experience liaising with stakeholders in legal department
  • A flexible approach to completing tasks and achieving targets
  • Working knowledge of Microsoft Office (primarily Word, Excel and Outlook);
  • Team player, reliable and a motivated self-starter with drive and initiative.
